In the first, Coles acknowledged underpaying salaried department store managers a total of $114 million in overtime that was due to them between 2017 and 2020.
In the other case, the Federal Court ruled that Coles' "Down Down" discounting promotions were misleading in 2022 and 2023.
Coles took the matters seriously, chairman Peter Allen told shareholders at the annual general meeting.
The pay reductions - which apply to current and former Coles executives - don't relate to any specific conduct by the individuals, but rather reflect Coles' belief that they are ultimately accountable for their business areas.
Chief executive Leah Weckert had her short-term bonus reduced by 20 per cent, or $414,000.
Her total compensation still rose for the year, however and she made a total of nearly $6 million in 2025/26, up from $5.4 million in the year before.
About half of that compensation for 2025/26 was paid in cash, with the rest in shares and performance rights.
Chief operations and supply chain officer Matthew Swindells had his short-term bonus cut by $82,800 and former chief executive Steven Cain had awards withheld from vesting.
The issue of executive pay wasn't a big topic at Friday's annual general meeting at Melbourne Convention Centre but Mr Allen was confronted by one shareholder who complained the retailer lacked resolve when it came to dealing with theft.
Howard Pascoe said that staff at a nearby Liquorland told him there's a thief who each day helps himself to a bottle of liquor and walks out without being touched.
"The security next door in the supermarket tells me he is just there for show," Mr Pascoe said.
"He might as well be a dummy. He's not allowed to touch the thief."
Coles' attitude towards theft, Mr Pascoe said, showed "no backbone," was like "a wet lettuce," and was costing shoppers money.
Mr Allen replied that theft remains a "really big issue" for the supermarket despite some progress.
"Unfortunately we're also seeing it's not just individuals, but it's organised crime who's arranging individuals to do that, and that's a real particular concern," he said.
The safety and security of Coles staff is a priority for the company and it doesn't want to put any staff members or security guards in harm's way, but Coles has been adding body-worn cameras and CCTV.
Those videos let Coles identify the people who are stealing from stores and report them to police, Mr Allen said.
The supermarket chain is also trying to ban thieves and criminals from its stores through targeted workplace orders.
"Unfortunately, what we're seeing in the Victorian state is not as strong as what we're seeing in other states," Mr Allen said.
Victoria passed a workplace protection bill in August that allows businesses and unions to ask courts to ban aggressive or violent individuals from their stores, but the Australian Retail Council has called the legislation weak because it doesn't allow courts to issue interim orders.
The measure takes effect in March 2027.
Data from retail crime intelligence platform Auror indicates there are about 100 violent retail crime events in Victoria every day, more than a third of the national daily total, according to the retail council.
Mr Allen said that Coles' losses from skip-scan theft - when shoppers fail to scan items at self-service checkouts - fell in recent years because of the company's investment in video technology.
